Affiliate Terms

These terms apply if you join the JustClip affiliate programme. They sit alongside our Terms of Service and Acceptable Use Policy, which still apply to you. Questions go to [email protected].

1. About these terms

The affiliate programme is run by BLACKCROSS STUDIO LTD (company number 17324356, registered office 78 York Street, London W1H 1DP, United Kingdom) (“we”, “us”). You accept these terms when you tick the box to join. Our Privacy Policy explains how we use your personal data, including your payout details.

2. Who can join

• You need a JustClip account, and you must be 18 or over.
• You must not be the subject of UK, EU, UN or US sanctions, or be located in a country subject to comprehensive sanctions.
• Your link works as soon as you join. We may still refuse an application, and we may suspend or close an affiliate account at any time (see section 10).
• You are an independent affiliate, not our employee, agent or partner.

3. Your link and how referrals are counted

• Your link is justclip.ai/?ref= followed by your code. When someone opens it, we ask whether they allow a referral cookie. If they do, we set a cookie (jc_ref) in their browser that lasts 60 days. We count the click either way.
• The first link counts. If the browser already has a referral cookie, a later referral link doesn't replace it.
• The person becomes your referral when they create a JustClip account, or sign in, in that browser while the cookie is still there. An account can be linked to only one affiliate, and once it is linked that doesn't change.
• We can't credit a referral we can't track, for example when someone doesn't allow the referral cookie, blocks or clears cookies, or signs up on another device or browser.
• Your affiliate dashboard shows your clicks, sign-ups and commissions.

4. Commission

You earn a percentage of each subscription payment a referred customer makes. Your rate depends on how many of your referrals are on a paid plan at the time (your “active referrals”):

• The rate that applies is the one on your account when the payment is made. Your tier goes up or down as your number of active referrals changes.
• Commission is paid for 12 months. You earn on a referred customer's payments for 12 months from the date they became your referral. After that, their payments no longer earn commission.
• Founding referrals. The first 100 referred customers to pay, across the whole programme, are founding referrals. You earn on a founding referral's subscription payments for as long as they keep paying, not just for 12 months. Your dashboard shows how many founding places are left.
• Commission is worked out on the amount the customer actually paid, in the currency they paid in, and is held in that currency.
• There is no commission on free trials, on credit packs or other one-off purchases, or on payments that are refunded or charged back.
• The programme pays commission only. There are no sign-up or milestone bonuses, and we don't issue new giveaway codes.
• Credits instead of cash. In your dashboard you can choose to take future commissions as JustClip credits instead of cash. Credits are added to your balance straight away, are worth 2.5 times the cash amount at the Clipper plan's price per credit, and can't be turned back into cash. The choice applies only to commissions earned after you make it.

5. The hold and clawbacks

• A cash commission is held for 30 days before you can withdraw it. Your dashboard shows what is held and what is available.
• If a payment you earned commission on is refunded (in full or in part) or charged back, we take back the commission on it. If it is still held, it is cancelled. If it has already become available or been paid to you, your balance goes negative by that amount and later commissions pay it off before you can withdraw again.
• If you took that commission as credits, we take back the credits you haven't used.
• We may also hold back or take back commission we reasonably believe was earned by breaking these terms.

6. Payouts and tax

• You can ask to withdraw your available balance from your affiliate dashboard. Each currency is withdrawn separately.
• We pay through Stripe Connect. Stripe checks your identity and holds your bank details; we don't see them. We may also pay you by another method we agree with you, such as PayPal or bank transfer.
• A transfer fee may be taken from a withdrawal. We show the fee and the amount you will receive before you confirm. We may set a minimum withdrawal amount; if we do, you will see it when you withdraw.
• You are responsible for your own taxes on what you earn, including telling your tax authority about it and paying any tax due. We or our payout provider may ask you for information we need for tax or legal reasons.

7. Telling people you earn a commission

The law and the platforms require you to be open about being paid. Whenever you share your link or promote JustClip, you must make it clear that it is an ad or an affiliate link.

• Use a clear label such as #ad, “affiliate link” or “I earn a commission if you sign up”.
• Put it where people will see it before they click: next to the link or at the start of the post or video, not hidden among hashtags or only on your profile.
• Use the platform's own paid-promotion or branded-content setting where it has one.
• Follow the advertising rules that apply to you, including the UK CAP Code and the US Federal Trade Commission's rules on endorsements.

8. What you must not do

• Refer yourself, or accounts you own or control. Referrals that share your account, email address, payment card or Stripe customer record don't earn commission.
• Create fake accounts or fake sign-ups, or pay or reward people to sign up.
• Send spam, or promote JustClip in places or ways that break a platform's rules.
• Make misleading claims about JustClip, including about its features, prices or results, or promise that people will earn a certain amount by using it.
• Bid on “JustClip” or similar words, or misspellings of them, in paid search ads.
• Use cookie stuffing, hidden links, pop-unders or anything else that sets a referral cookie without a real click.
• Pretend to be JustClip, or suggest that you work for us or speak for us, or that we endorse you.
• Promote JustClip alongside content that breaks our Acceptable Use Policy.

9. Using our name

While you are an affiliate, you may use the JustClip name and logo to promote JustClip under these terms. Don't change our logo, and don't use our name in a domain name, an app or a social media account name. This permission ends when you leave the programme.

10. Suspension and leaving the programme

• You can leave at any time by emailing [email protected].
• We may suspend or close your affiliate account at any time. Where it is reasonable, we will tell you why. While your account is suspended or closed, your link no longer brings in new referrals and payments from your referrals no longer earn commission.
• If you leave, or we close your account without it being your fault, we will pay your remaining balance once it has passed its hold, less any clawbacks.
• If we close your account because you broke these terms, you lose any commission that hasn't been paid to you yet, as far as the law allows.

11. Changes to these terms

We may change these terms, including commission rates, tiers and the commission period. We will tell you by email or in your dashboard at least 14 days before a change takes effect. Changes don't affect commission you have already earned. If you don't agree with a change, you can leave the programme before it takes effect.

12. Our responsibility to you

• We don't promise that you will earn any amount from the programme.
• We aim to track referrals accurately, but we are not responsible for referrals lost because of cookies, browsers or other things outside our control.
• We are not liable for loss of profits, revenue or business, or for any indirect or consequential loss. Our total liability to you under these terms in any 12-month period is limited to the commission paid or payable to you in that period.
• Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit or exclude.
